Terms of Service

1. Acceptance of Terms

By creating an account or accepting an order on opzz.io, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

These terms form a binding agreement between the organisation you represent and itemsnest GmbH, Berlin, Germany (VAT: DE348793078). You confirm you are authorised to bind that organisation.

The service is offered to businesses in the European Union and European Economic Area. If you access the service from elsewhere, you do so on your own initiative and remain responsible for compliance with local law.

2. Description of Service

opzz.io is a connected operations platform for companies — one place for teams, tools, vendors, contracts, projects, and budgets, with a horizontal view across them. The service is provided as software-as-a-service (SaaS) via web browser.

Each team works in its own board; workspaces support role-based access (owner, admin, member, viewer). The account owner is responsible for managing seats, team access, and permissions.

You may use the service to:

• Capture and organise tools, licences, assets, vendors, and contracts
• Manage team members, contacts, roles, and shared access (within your seat count)
• Plan projects, roadmaps, and tasks, and track budgets and spend
• Use AI-assisted capture and suggestions (you remain responsible for decisions)

Some features depend on optional integrations you choose to connect and may not be available everywhere.

3. Account Registration and Seats

Registration creates an account only. You must subscribe to use the product. Access is licensed per seat; there is no permanent free tier.

You must provide accurate information when registering. You are responsible for keeping credentials secure and for the activity of the seats you assign. Notify us immediately at hello@opzz.io if you suspect unauthorised access.

You may not create accounts to circumvent seat limits or refunds. We may suspend duplicate or abusive accounts.

4. Acceptable Use

You may use opzz.io for lawful business operations only. You may not:

• Resell or sublicense access without our written consent
• Attempt to gain unauthorised access to other customers' data
• Upload illegal, harmful, or infringing content
• Use automated tools to scrape or extract data at scale
• Reverse engineer or attempt to extract the source code

5. Your Data, Privacy and DPA

You retain ownership of your data. You grant itemsnest GmbH a limited licence to store and process it solely to provide the service.

Where your team processes personal data of employees, contacts, clients, or vendors through opzz.io, your organisation is the controller and itemsnest GmbH acts as a processor under a Data Processing Agreement (GDPR Art. 28). Our standard DPA is available on request at legal@opzz.io. See our Privacy Policy.

You can export your data and delete your account at any time from account settings. We do not sell your data.

6. Subscription and Billing

Per-seat subscription. The plan is billed per seat (monthly or annual). Prices and included features are published on opzz.io/pricing.

Payment and VAT. Checkout is processed by Stripe Payments Europe, Ltd. By subscribing, you authorise recurring charges until you cancel. Prices are stated net; VAT is added where applicable. For business customers with a valid VAT-ID in another EU member state, the reverse-charge procedure applies.

14-day money-back guarantee: If you are not satisfied with your first subscription payment, you may request a refund by email to refund@opzz.io within 14 days of that payment. Use the email address on your opzz.io account and state that you are requesting the money-back guarantee. Refunds are not available through the Stripe billing portal or in-app settings — email only. This is a voluntary commercial gesture (see section 12 on the absence of a statutory consumer right of withdrawal for businesses).

Cancellation. Cancel anytime via account settings or the Stripe customer portal (cancellation only, not money-back refunds). Access continues until the end of the paid period. No refunds for partial periods except after an approved email request under the money-back guarantee or where required by law.

Price changes. We notify you at least 30 days before increases. Continued use after the effective date constitutes acceptance.

7. AI and Third-Party Information

AI features suggest extractions and actions from content you provide. They can be wrong. You must verify important information (legal, tax, financial, contractual) before relying on it.

Data from connected third-party services is provided for convenience and is not a substitute for the source system of record.

8. Service Availability

We aim for reliable uptime but do not guarantee uninterrupted service. Maintenance may occur with or without notice.

9. Termination

You may delete your account at any time.

We may suspend or terminate access for breach of these terms, fraud, or legal requirement, with notice where reasonably possible.

After termination, personal data is deleted within 30 days except where law requires retention (e.g. payment records — HGB §257).

10. Limitation of Liability

To the maximum extent permitted by law, itemsnest GmbH is not liable for:

• Loss of data (use export regularly)
• Indirect or consequential damages, including lost profits or business interruption
• Outages of third-party providers (Supabase, Stripe, etc.)
• Reliance on AI output or generated reports

For business customers, total liability in any 12-month period is limited to the fees paid in that period. Liability is otherwise limited to intent and gross negligence.

Nothing limits liability for death or personal injury from negligence, fraud, or other mandatory liability under German law.

11. Intellectual Property

opzz.io, its design, code, and branding are owned by itemsnest GmbH. You retain rights to your content.

12. Business Customers — No Right of Withdrawal

opzz.io is sold to businesses. Contracts are concluded between commercial entities, so consumer protection rules — including the statutory right of withdrawal (Widerrufsrecht) — do not apply. The voluntary 14-day money-back guarantee in section 6 applies instead. See our withdrawal notice for details.

13. Governing Law and Jurisdiction

German law applies. Place of jurisdiction is Berlin, Germany.

14. Changes to These Terms

We notify you by email at least 14 days before material changes. Continued use after the effective date constitutes acceptance.
